Mr. Swerts, CRISC, CISA, CGEIT, PMP, is an accountant and business administrator. He holds an MBA degree in Business Management from one of Brazil’s leading business schools, the Brazilian Capital Markets Institute based in Rio de Janeiro (Ibmec-RJ). He started his professional career at Deloitte Touche Tohmatsu and has accumulated 24 years of experience in risk management consulting projects, systems audits, outsourcing of internal audit functions, and compliance with the requirements of the Sarbanes Oxley Act (SOX), among others. He is a member of the ISACA as a Certified Information Systems Auditor, Certified in the Governance or Enterprise IT and is also certified in Risk and Information Systems Control. Furthermore, he is a member of the Project Management Institute - PMI as a Project Management Professional.
He initiated, developed and coordinated the area of business risk management and systems audit consulting at the Rio de Janeiro office of Deloitte Touche Tohmatsu. He has vast experience with international control standards, notably COSO (widely used in SOX compliance engagements), CobiT and ISO 17799. Among his clients are the B2W Group (Americanas.com), the real estate concern Brookfield, mining giant BHP Billiton, a major gas concern Supergasbrás, the Brazilian Central Bank (BACEN), Banco Opportunity, tobacco concern Souza Cruz S.A., electric power player Light and pulp concern Jari Celulose, among others.
Jorge has a bachelor’s degree in accounting and a master’s degree in Business Law (LLM) from Ibmec/RJ, with a great deal of experience in Tax Consulting, chiefly the Brazilian federal taxes on income (Corporate Income Tax – IRPJ, and Social Contribution – CSLL), as well as the taxes on revenues (the Social Integration Program – PIS, and the Social Security Finance Contribution – Cofins). He also started his professional career at Deloitte Touche Tohmatsu, where he worked his way up to Tax Consulting Director. He has 20 years’ of experience.
Jorge also works as a lecturer at the Rio de Janeiro Pontifical Catholic University (PUC/RJ) and the Brazilian Institute of Independent Auditors (IBRACON) and is a noted specialist in Tax Compliance, Transfer Pricing and Tax Planning. He has served such important companies as the Eike Batista Group (EBX), another major mining concern, VALE, the Brookfield real estate concern, B2W/Americanas, FACILITY, BHG Hotéis, Pestana Hotéis, *Profarma, Sendas, Sá Cavalcante and VESÚVIUS; pharmaceutical giants such as Laboratórios Merck, GlaxoSmithKline, Schering Plough, Biorad and Biomerrieux; Souza Cruz; Oil & Gas concerns such as Baker Hughes, C&C Technologies, CGG Veritas, CETCO/AMCO, GulfMarine and Cockett, as well as electric power organizations such as FURNAS, ONS - Operador Nacional do Setor Elétrico, ALTM, RICOH, Rolls Royce, Man Diesel, MA Automotive, pulp concern Aracruz Celulose (currently Fibria), among other clients.
Leonardo’s background is in business administration, specializing in Corporate Finance. He has over 12 years’ experience in M&A and equity research; previously he was partner and director of operations for V2Finance Clairfield International, and also worked with such leading international investment banks as Goldman Sachs and Santander Invetments.
On the sell- side, he was in charge of developing and presenting share call and put options for institutional investors based on economic-financial appraisal models and studies in the retail, consumption, telecommunications, aviation, aerospace and general manufacturing segments. He further structured M&A transactions in diverse industries in the local and international market, as well as IPO operations.
He was president and founder of Grupo Ink Brasil, a company specialized in the production and distribution of inks in the Brazilian market for the retail and IT segments.
Luis has a background in accounting auditing, including registration on the National Council of Independent Auditors (CNAI) and an MBA degree in finance. He has a great deal of experience in accounting, auditing and consulting services for foreign concerns, in terms of reporting according to both IFRS and Brazilian GAAP, including Brazilian companies registered with the Brazilian Securities Commission (CVM) and the U.S. SEC besides.
He started his professional career at Deloitte Touche Tohmatsu, having worked his way up to becoming Audit Partner and has a total of 18 years’ experience at that firm. He was also one of the founding partners of Premiumbravo Auditores e Consultores. He planned, coordinated and was the final auditor in charge of a wide range of services for such important and strategic clients of Deloitte and PremiumBravo as the Vale mining, processing and transportation group (Albras, Alunorte and Docenave), Alliant Energy (Grupo Cataguazes), British American Tobacco (Grupo Souza Cruz), Lafarge (Cimento Mauá), Aracruz Celulose, Schweitzer Mauduit, MMX BJ Services, Grupo Neoenergia, Grupo Brascan, MMX, Mitsui Gás e Energia and BHP Billiton Metais, among other energy and raw material concerns.
Marcelo has around 30 years’ experience as a corporate finance professional. He was a director and partner of V2Finance Clairfield (a major world-wide “M&A boutique"); executive director of the European investment bank BANIF (where he was in charge of M&A, Corporate Clients and Structured Finance segments). Also, Marcelo developed his career at Deloitte, and served as partner of the Corporate Finance for 12 years. Over the course of his lengthy career, he has worked in the departments of M&A, Valuation, Restructuring, PPP (with experience in London), Project Finance (being a benchmark for this area in Brazil), Judicial Administration (he served as judicial administrator for several companies undergoing judicial recovery processes), and Conflict Mediation (emphasis on corporate issues). He also worked for over 15 years at major Investment Banks, as manager of underwriting and corporate finance at Bozano Simonsen, Boavista, Primus and Arbi banks. Marcelo coordinated dozens of operations of IPO, and follow-ons Debentures and commercial papers. He also coordinated privatization processes, highlighted by the emblematic sale of EMBRAER and the cases of CERON, ELETROACRE, PROCEGS, CORAG, Ciel and CTUR. In the Reorg area, Marcelo coordinated the restructuring of 12 companies controlled by the State of Rio de Janeiro (CEASA; CASERJ; CEHAB; CENTRAL; CODERTE; EMATER; EMOP; IO; IVB; PESAGRO; RIOTRILHOS; and TURISRIO). Marcelo intermediated dozens of projects involving M&A, Project Finance, IPO’s and various capital markets operations. He has a master degree in Financial Administration by IBMEC/RJ, a post-graduation degree in finance from PUC/RJ and is graduated at economics from Universidade Federal do Rio de Janeiro (UFRJ). He has given more than 60 lectures in Brazil and abroad, and has received extensive training in Conflict Resolution from the Institute FAMILIE/SP.
